1. Agreement and scope

These Terms & Conditions (“Terms”) form an agreement between you and WS Trading Company Ltd., a company registered in Colorado and operating the Elori Vane online store (“Elori Vane,” “we,” “us,” or “our”), regarding your use of elorivane.com, its pages, features, content, online store, and related services (collectively, the “Services”).

We may update these Terms from time to time. The effective date above identifies the latest version. Changes apply when posted unless a later date is stated. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

2. Eligibility and accounts

You must be at least 18 years old, or the age of legal majority where you live, to make a purchase. A minor may use the Services only under the supervision of a parent or legal guardian who accepts these Terms.

If you create an account, you agree to provide accurate and current information, keep your login credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless prohibited by law.

We may suspend or terminate an account or restrict access when reasonably necessary to protect customers, prevent fraud or abuse, enforce these Terms, or comply with law.

3. Permitted use of the Site

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for lawful personal shopping purposes.

You may not:

• Use the Services for an unlawful, fraudulent, misleading, or abusive purpose;
• Interfere with Site security, operation, checkout, accounts, or another user’s access;
• Introduce malware, harmful code, automated attacks, or excessive requests;
• Scrape, copy, reproduce, sell, or commercially exploit Site content without permission;
• Use bots or automated tools to purchase inventory, except ordinary search-engine indexing;
• Impersonate another person or submit false account, payment, order, or review information; or
• Infringe intellectual-property, privacy, publicity, or other rights.

4. Product information and availability

We work to present product descriptions, measurements, prices, images, colors, and availability accurately. However, typographical errors, technical errors, and reasonable manufacturing variations may occur.

Colors may appear differently because of photography, lighting, fabric texture, and device or screen settings. Product measurements may vary slightly due to the measuring method and manufacturing process. Please review the product-specific size guide before ordering.

All products are subject to availability. Displaying an item on the Site does not guarantee that it remains in stock or available in every size or color.

5. Orders and order acceptance

Submitting an order is an offer to purchase the selected products. An automated confirmation acknowledges that we received the order; it does not prevent us from reviewing availability, payment, pricing, address, or fraud concerns.

We may refuse or cancel an order, in whole or in part, before shipment if:

• An item is unavailable;
• Payment cannot be authorized or verified;
• Order, customer, or shipping information appears incorrect or incomplete;
• A price, promotion, product description, or technical error occurred;
• We suspect fraud, resale abuse, unauthorized activity, or a violation of these Terms; or
• Fulfillment is prohibited or impracticable for legal or operational reasons.

If we cancel a paid item, we will issue the applicable refund to the original payment method. Your payment provider controls the time required for the credit to appear.

Changes and cancellations requested by you

Orders begin processing quickly. Contact us immediately if you need a change or cancellation. We will try to help but cannot guarantee changes after processing begins or shipment occurs.

6. Prices, taxes, and payment

Unless stated otherwise, prices are displayed and processed in US dollars (USD). Product prices may change without notice, but a later price change will not alter an order already accepted, except to correct an obvious error as permitted by law.

Shipping charges and applicable sales or similar taxes are calculated and displayed before payment. Your bank or payment provider may impose currency-conversion, international transaction, overdraft, or other fees that we do not control.

You represent that you are authorized to use the payment method submitted. Payments are processed by third-party payment providers under their own terms and privacy practices. We do not store your complete card number.

A bank may display a temporary authorization or pending charge even if a payment attempt is not completed. The bank controls when such holds are released.

7. Promotions and discount codes

Promotions, coupons, gifts, and discounts are subject to the terms shown with the offer and may have eligibility, product, date, quantity, geographic, or usage restrictions.

Unless expressly stated otherwise:

• Only one promotional code may be used per order;
• Codes must be entered and successfully applied before checkout is completed;
• Discounts cannot be applied retroactively to completed orders;
• Offers have no cash value and cannot be transferred or resold; and
• We may correct, suspend, or cancel an offer affected by error, fraud, or misuse.

The first-order code WELCOME8 provides 8% off when the eligibility requirements displayed on the Site are met.

8. Shipping and delivery

Shipping options, charges, and estimated delivery timing are displayed at checkout or in related shipping information. Standard US shipping is free on eligible orders of $59 or more.

Delivery estimates are not guarantees. Processing or transit may be affected by inventory, address verification, carrier capacity, weather, holidays, customs, government action, or other circumstances outside our reasonable control.

An order may arrive in multiple packages, each with separate tracking. You will not be charged additional shipping solely because we split a shipment.

You are responsible for providing a complete, accurate, and deliverable address. Title and risk of loss transfer to you when the order is delivered to the address provided, except where applicable law requires otherwise. Review our Shipping Information for additional details.

9. Returns, refunds, and damaged items

Eligible returns are governed by our Refund & Returns Policy, which is incorporated into these Terms. Most eligible items may be returned within 30 days after delivery, subject to item-condition, authorization, exclusion, and shipping requirements.

Inspect your order promptly. Damaged, defective, or incorrect items should be reported within 7 days of delivery with the order number and clear supporting photographs.

Nothing in these Terms limits a mandatory consumer right that cannot lawfully be excluded.

10. Reviews, photos, and other submissions

If you submit a review, photograph, comment, feedback, suggestion, or other content (“User Content”), you retain any ownership rights you have, but grant Elori Vane a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, use, reproduce, adapt, publish, translate, display, and distribute that content in connection with our Services, products, customer communications, and marketing.

You represent that you own or have permission to submit the User Content and that it does not violate law or another person’s rights. User Content must not be deceptive, defamatory, obscene, threatening, discriminatory, infringing, malicious, or unrelated commercial solicitation.

We may moderate, decline, edit for formatting, or remove User Content, but we are not obligated to publish or monitor every submission. Do not submit images of anyone under 18 without a parent or guardian’s lawful permission.

11. Intellectual property

The Site and its text, layout, branding, graphics, photographs, video, software, and other content are owned by or licensed to Elori Vane and are protected by applicable intellectual-property laws. “Elori Vane” and associated branding may not be used without prior written permission.

You may view and use the Site for personal shopping. No other right or license is granted. Third-party names, marks, and content remain the property of their respective owners.

12. Third-party services and links

The Services may include links to or features provided by payment providers, carriers, social networks, analytics providers, or other third parties. We do not control independent third-party services and are not responsible for their content, availability, security, or privacy practices. Your use of them may be governed by separate terms.

13. Service disclaimers

To the maximum extent permitted by law, the Site and its content are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, error-free, or completely secure access, or that every error will be corrected immediately.

Any implied warranties are excluded only to the extent legally permitted. Product warranties and mandatory consumer protections that cannot be excluded remain unaffected.

14. Limitation of liability

To the maximum extent permitted by law, Elori Vane and its service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including loss of profits, data, business opportunity, or reputation, arising from use of or inability to use the Services.

To the maximum extent permitted by law, our aggregate liability relating to a purchased product will not exceed the amount you paid for that product. These limitations do not apply to fraud, willful misconduct, death or personal injury caused by negligence, or another liability that cannot legally be limited.

Some jurisdictions do not allow certain warranty exclusions or liability limitations, so portions of this section may not apply to you.

15. Governing law and disputes

Please contact us first so we can try to resolve a concern informally. Email support@elorivane.com with your name, order number if applicable, and a clear description of the issue.

These Terms and your use of the Services are governed by the applicable federal laws of the United States and the laws of the State of Colorado, without regard to conflict-of-law principles.

We also comply with other mandatory local laws and regulatory requirements applicable to our operations. Depending on the transaction, these may include laws applying in jurisdictions where we conduct business, where a customer or cardholder is located, and requirements applicable to our acquiring banks, payment processors, and service providers. Nothing in these Terms deprives a consumer of a mandatory protection that cannot lawfully be waived.

Any dispute that is not resolved informally may be brought before a court or other forum having lawful jurisdiction.

16. General terms

Events beyond reasonable control

We are not responsible for delay or nonperformance caused by events beyond our reasonable control, including severe weather, natural disaster, epidemic, war, civil unrest, government action, labor disruption, carrier interruption, utility failure, telecommunications failure, cyberattack, or supply-chain disruption.

Severability

If any provision is found invalid or unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue in effect.

No waiver

Failure to enforce a provision does not waive our right to enforce it later.

Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a business transfer, reorganization, or as otherwise permitted by law.

Entire agreement

These Terms and the policies incorporated by reference constitute the agreement between you and us concerning the Services, except for additional terms expressly provided for a particular feature or offer.
